2. Acceptance of Terms

By using our website or engaging with our services, you confirm that you have read, understood, and agreed to these Terms and Conditions, along with any additional policies and agreements that apply to specific services.

3. Client Obligations

You agree to provide all necessary information, resources, and cooperation required for the successful completion of the services provided by AIVS Enterprise (Abhijit Banerjee). This includes:

- Providing accurate and up-to-date information

- Timely responses to requests from AIVS Enterprise (Abhijit Banerjee)

- Ensuring that all content provided to us complies with relevant laws and regulations

4. Payment and Fees

- All fees for services rendered will be detailed in the individual contract for each project.

- Payments are due as specified in the contract or invoice.

AIVS Enterprise (Abhijit Banerjee) reserves the right to charge interest on overdue invoices at the rate specified in the contract. If a client fails to make payment as agreed, AIVS Enterprise (Abhijit Banerjee) reserves the right to suspend or terminate the services provided.

5. Intellectual Property Rights

- AIVS Enterprise (Abhijit Banerjee) retains ownership of any intellectual property created during the course of providing services unless otherwise agreed in writing.

- Upon full payment for the services, the client is granted a non-exclusive, non-transferable license to use the deliverables.

- All third-party software, tools, and resources used in the services remain the property of their respective owners.

6. Confidentiality

- Both parties agree to maintain confidentiality regarding any proprietary or confidential information shared during the course of the engagement.

- AIVS Enterprise (Abhijit Banerjee) will not disclose any confidential information to third parties without the client's written consent, except as required by law.

7. Limitation of Liability

- AIVS Enterprise (Abhijit Banerjee) will not be held liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business.

- The total liability of AIVS Enterprise (Abhijit Banerjee), whether in contract, tort, or otherwise, will not exceed the total amount paid by the client for the specific service that gave rise to the liability.

8. Termination of Services

- Either party may terminate the agreement with written notice if the other party breaches any material term of the contract and fails to remedy the breach within a reasonable period.

- Upon termination, the client is required to pay for all services rendered up until the termination date.

- AIVS Enterprise (Abhijit Banerjee) reserves the right to suspend services if payment is not received within the specified time frame.

9. Indemnity

- The client agrees to indemnify, defend, and hold harmless AIVS Enterprise (Abhijit Banerjee) from any claims, losses, damages, or expenses, including legal fees, arising out of:

- The client’s breach of any terms in this agreement

- The client’s use of the services

- Any third-party claims related to content or materials provided by the client

10. Privacy Policy

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of West Bengal, India, without regard to its conflict of laws principles. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts located in Kolkata, India.

12. Amendments

- AIVS Enterprise (Abhijit Banerjee) reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on the official website, and the revised terms will take effect immediately upon posting.

13. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond their reasonable control, including but not limited to natural disasters, war, or government actions.

14. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
